Schuldig on Dist is actually pretty concise, and it largely boils down to the fact that he recognizes Dist is in a position of responsibility and authority in the organization, and it's always better to have those people like you (and know who you are, and stand out to them) than the alternative, so he was pretty well pleased to find out that he's being discussed behind his back because that means he's made an impression, and he likes that.
That said, I don't think he knows about the Nagi/Dist/Kato connection yet, and when he does he'll probably start covertly supervising that like a hawk because Nagi is His™ and therefore Nagi's business is consequently his business, but he won't actually try to throw wrenches in it or anything so much as just kind of keep tabs on it. Things were different when he was doing this Rocket thing solo, but with another member of Schwarz around, the equation changes because for Schuldig, matters are always perceived as "Schwarz versus those who are not Schwarz", so Nagi will pretty much always take priority for him over...basically anything else.
